Terms of Service

These Terms of Service (“Terms”) govern your access to and use of our website, products, and services. By using our site, submitting an enquiry, or placing an order, you agree to be bound by these Terms. If you do not agree, you must stop using our services.

1. Scope and Parties

These Terms are a legal agreement between you (acting for yourself or your organisation) and LayerForge Components Sdn. Bhd. (“LayerForge”, “we”, “us”). Additional terms (for example, a quotation, statement of work, or purchase agreement) may apply to specific orders. If there is a conflict, the signed order document prevails.

2. Quotations and Orders

Quotations are valid for the period stated (or 30 days if not stated) and are subject to materials availability. An order is accepted when we confirm in writing or commence work. You are responsible for ensuring specifications are accurate, including materials, tolerances, and quantities.

3. Prices and Payment

Unless otherwise specified, prices are in MYR and exclusive of taxes, duties, shipping, and insurance. We may require advance payment for custom work or large orders. Invoices are due within the stated terms. Late payments may accrue interest and the cost of collection. Title to goods transfers upon full payment; risk of loss transfers upon delivery to the carrier.

4. Delivery and Lead Times

Lead times are estimates and depend on material availability, capacity, and approvals. We will make reasonable efforts to meet target dates. Partial shipments may be made. You must promptly inspect deliveries and notify us of any non‑conformance within five (5) business days.

5. Product Specifications and Use

Filaments, nozzles, and supports are provided according to the specifications referenced in your order. You are responsible for ensuring suitability for your application, including safety, regulatory, and environmental requirements. Technical advice is provided “as‑is” and does not create additional warranties.

6. Returns and Non‑Conformance

If products fail to meet agreed specifications, contact us for an RMA number before returning any items. At our option, we will repair, replace, or credit the non‑conforming items. This remedy is your exclusive remedy for non‑conformance.

7. Limited Warranty

We warrant that products will materially conform to the agreed specifications at shipment. Except as stated, the products and services are provided “as‑is” and “as available”, and we disclaim all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

8. Acceptable Use

You agree not to misuse the site or services, including attempting to circumvent security, introducing malware, scraping without permission, or using our products for unlawful, unsafe, or prohibited purposes. We may suspend or terminate access for violations.

9. Intellectual Property

We retain all rights in our trademarks, content, documentation, and proprietary processes. You retain rights in the designs and specifications you supply to us. By providing materials to us, you grant a non‑exclusive licence to use them solely to deliver the ordered products and services.

10. Confidentiality

Each party agrees to protect the other party’s non‑public information with reasonable care and use it only for the purposes of the engagement. Confidentiality obligations survive termination.

11. Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits, revenue, data, or business interruption. Our total liability arising from or related to the services is limited to the amount paid by you for the specific order giving rise to the claim.

12. Indemnity

You agree to indemnify and hold LayerForge harmless from claims, damages, liabilities, and expenses arising from your breach of these Terms, your misuse of the products, or your materials and instructions.

13. Compliance

You are responsible for compliance with applicable laws related to your use of our products, including safety standards, environmental regulations, and export controls. We may decline or cancel orders that would violate applicable laws or our policies.

14. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including shortages, strikes, pandemics, or transportation disruptions. Obligations resume once the event ends.

15. Termination

Either party may terminate an order for cause if the other party materially breaches and fails to cure within a reasonable period after notice. Sections intended to survive termination will continue to apply.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia. Disputes will first be discussed in good faith. If unresolved, the parties agree to the exclusive jurisdiction of the courts located in Selangor, Malaysia.

17. Changes to Terms

We may update these Terms from time to time. The updated version will be indicated by the effective date. Material changes may be communicated on our website.
